摘  要：长久以来，大中型企业在国民经济中占重要比重，国家的政策往往向大中型企业倾斜，中小企业缺少关注、缺乏活力，创业板的推出将大大改变这一局面。本文从监管行为、法律规则、独立董事制度以及引入做市商制度等问题入手，阐述了我国创业板推出存在的一些问题，并依据这些问题提出了相应的对策。

Abstract: With a long time , Large and Medium-sized Industrial Enterprises have a big part percentage in national economy , and the policy’s Preferential Policies are trend to them ,
however , small-and-medium-sized enterprises have fewer Preferential Policies. Growth Market’s Supply will change this situation. Firstly this article put forward and discusses Growth Market’s problems, such as act of law、the independent director system and so on . Then the article advise some solutions.
