摘  要：银行业是我国金融体系的主体，近年来我国银行业的面貌发生了很大的变化。2007年先后有7家商业银行在A股上市，目前我国上市银行已达了14家。上市之后，我国商业银行建立了相对规范的公司治理结构体系，增强了风险控制的能力。但是我国商业银行的公司治理尚处在初级阶段，要在同外资银行的激烈竞争中立于不败之地，必须在有限的时间内加快完善我国商业银行的公司治理机制。由于银行的行业特征很特殊，以及严格的行业监管和管制，使得商业银行的外部治理机制作用有限，内部治理是核心。本文选取14家上市商业银行的财务数据，重点从股权结构、董事会结构、管理层薪酬激励和内部控制权等方面入手做实证研究。同时采用理论研究与实证研究相结合的方法，分析商业银行公司治理对经营绩效的影响。

Study On The Relationship Between Corporate Governance and Performance Of Commercial Banks
Abstract: Banking is the main body of China's financial system in recent years, China's banking sector has undergone great changes. 2007, has seven commercial banks in the A share market, now listed banks in China has reached 14. The listing of the commercial banks in China to establish a relatively standard corporate governance structure, strengthen risk control. But the corporate governance of commercial banks in China is still in its early stages, to the fierce competition with foreign banks in an invincible position, we must speed up in the limited time perfecting corporate governance of commercial banks. The special characteristics of banking industry, as well as strict monitoring and control of the industry, making commercial bank limited role of external governance, internal control is the core. This selection of 14 listed commercial banks, financial data, the focus from ownership structure, board structure, management and internal control over incentive compensation and other aspects of doing empirical research. At the same time theoretical research and empirical studies using the combination method of commercial banks and companies on business performance.
